Affiliate Terms & Conditions

These Affiliate Terms & Conditions (“Terms”) govern participation in the affiliate programme operated by SUPPLIER EARTH LIMITED (“SUPPLIER EARTH”, “we”, “us”, or “our”).

By applying to, joining, or participating in our affiliate programme, you agree to these Terms. If you do not agree with these Terms, you must not participate in the programme.

1. Eligibility

The SUPPLIER EARTH affiliate programme is available worldwide.

By joining the programme, you confirm that you are legally able to enter into this agreement and that the information you provide to us is accurate and complete.

Affiliates participate as independent partners. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and SUPPLIER EARTH.

You may not represent yourself as an employee, official representative, or authorised agent of SUPPLIER EARTH.

2. Affiliate Commission

Affiliates earn a 5% commission on qualifying purchases made through their affiliate referral.

Commission is calculated on the final order value excluding taxes and shipping costs.

Commission is not earned on:

  • Taxes or duties

  • Shipping or delivery charges

  • Cancelled orders

  • Refunded or returned orders

  • Fraudulent or otherwise invalid transactions

  • Purchases made through an affiliate's own referral

We reserve the right to determine whether a transaction qualifies for commission.

3. Royalties

Where a separate royalty arrangement applies, royalties are tracked and paid in accordance with the individual agreement between SUPPLIER EARTH and the relevant affiliate or partner.

Royalty rates, calculation methods, eligible products or sales, payment schedules, and other applicable terms may differ from the standard affiliate commission described in these Terms.

Where an individual royalty agreement conflicts with these Terms, the terms of the individual royalty agreement will apply to the royalty arrangement.

4. Affiliate Tracking

Affiliate referrals may be tracked through affiliate links, promotional or discount codes, and cookies.

Affiliate cookies remain active for 30 days from the customer's click.

Where multiple affiliates are involved, the commission will generally be attributed to the most recent valid affiliate referral before the purchase.

We are not responsible for commissions that cannot be tracked because of circumstances outside our reasonable control, including browser settings, cookie blocking, technical issues, or other tracking limitations.

5. Commission Payments

Affiliate commissions are calculated and credited monthly.

Commissions are paid exclusively as store credit applied to the affiliate's SUPPLIER EARTH account.

Store credit:

  • Can only be used towards future purchases from SUPPLIER EARTH

  • Cannot be exchanged for cash

  • Cannot be transferred or sold to another person

  • Expires one year after it is issued

No cash, bank transfer, PayPal payment, or other cash-equivalent payment will be provided in place of affiliate commission.

We may withhold or reverse commission where an order is subsequently cancelled, refunded, returned, disputed, or determined to be invalid.

6. Promotional Activities

Affiliates may promote SUPPLIER EARTH using promotional methods of their choice, provided that those activities do not negatively affect the SUPPLIER EARTH brand, reputation, customers, or business.

Affiliates must:

  • Provide accurate information about SUPPLIER EARTH and its products

  • Clearly identify themselves as an affiliate where required by applicable law

  • Use honest and non-misleading advertising

  • Comply with all applicable advertising, consumer protection, privacy, and other laws

  • Respect SUPPLIER EARTH's intellectual property and trademarks

Affiliates must not:

  • Make false, misleading, or unsubstantiated claims about SUPPLIER EARTH or its products

  • Impersonate SUPPLIER EARTH or suggest that they are an official employee or representative

  • Use SUPPLIER EARTH's trademarks or branding in a misleading manner

  • Engage in spam, unsolicited communications, or other abusive promotional practices

  • Use illegal, fraudulent, deceptive, or unethical promotional methods

  • Promote SUPPLIER EARTH alongside content that could reasonably damage the brand's reputation

  • Manipulate affiliate tracking or commission attribution

We may require an affiliate to stop any promotional activity that we believe negatively affects SUPPLIER EARTH or its brand.

7. Fraud and Abuse

Any attempt to artificially generate commissions or manipulate the affiliate programme is prohibited.

This includes, but is not limited to:

  • Self-referrals or purchases made through your own affiliate link or code

  • Cookie stuffing or other tracking manipulation

  • Fake, fraudulent, or artificially generated orders

  • Misleading customers in order to generate referrals

  • Manipulation of affiliate links or tracking systems

  • Any other activity intended to generate commissions improperly

If we detect fraudulent or abusive activity, we may immediately terminate the affiliate account and cancel any associated commissions or store credit.

8. Intellectual Property

SUPPLIER EARTH retains all rights to its trademarks, logos, product images, content, designs, and other intellectual property.

Affiliates may use materials made available by SUPPLIER EARTH for the purpose of promoting our products through the affiliate programme.

Affiliates may not modify, misuse, register, copy, or otherwise exploit SUPPLIER EARTH intellectual property without permission.

Participation in the affiliate programme does not grant ownership of any SUPPLIER EARTH intellectual property.

9. Termination

SUPPLIER EARTH may terminate an affiliate's participation in the programme at any time and for any reason.

An affiliate may also stop participating in the programme at any time.

Upon termination, the affiliate must immediately stop representing themselves as a SUPPLIER EARTH affiliate and stop using affiliate links, promotional codes, and SUPPLIER EARTH materials provided for affiliate promotion.

SUPPLIER EARTH may cancel unpaid or uncredited commissions associated with fraudulent, invalid, or otherwise prohibited activity.

Any valid store credit already issued before termination remains subject to these Terms, including its one-year expiry period.

10. Changes to the Affiliate Programme

SUPPLIER EARTH may modify, suspend, or terminate the affiliate programme at any time.

We may also change these Terms, commission rates, tracking methods, payment arrangements, promotional rules, or other aspects of the programme.

Changes will become effective when published or communicated by SUPPLIER EARTH.

Continued participation in the programme after changes take effect constitutes acceptance of the updated Terms.

11. Taxes

Affiliates are responsible for determining and complying with any tax, reporting, registration, or other financial obligations that apply to them in connection with commissions or store credit received through the programme.

SUPPLIER EARTH does not provide tax advice to affiliates.

12. Limitation of Liability

SUPPLIER EARTH will not be responsible for indirect, incidental, or consequential losses arising from participation in the affiliate programme.

We do not guarantee that the affiliate programme, tracking systems, website, or affiliate links will always operate without interruption or error.

13. Governing Law

These Terms are governed by the laws of Hong Kong.

Any dispute arising from or relating to these Terms or the affiliate programme will be subject to the jurisdiction of the courts of Hong Kong.

14. Acceptance of These Terms

By applying to or participating in the SUPPLIER EARTH affiliate programme, you confirm that you have read, understood, and agreed to these Affiliate Terms & Conditions.

If you do not agree to these Terms, you must not participate in the affiliate programme.
